Changed date for publishing interim report

In order to confirm that the Shareholder’s equity is intact, the Board has decided to establish a balance sheet control. An external appraisal of the company’s VoIP system is to be obtained by an independent expert. Taking into consideration the costs of system development, the company’s market value from previous new issues of shares and the contract the recently finalized with 3 (Hi3G Access AB), is the Board’s belief that the balance sheet will show that the company’s equity is intact.

Pending the completion of the balance sheet, the company has decided to postpone the interim report for the second quarter 2011 to August 31st 2011.

Challenger Mobile AB has entered into an agreement with mobile operator 3 in Sweden (Hi3GAccess AB), which means that the companies together enable the launch of IP telephony in the mobile phone to 3’s mobile phone customers in Sweden.

The service is launched by 3 on June 1st and is called 3Global WiFi.

Based on Challenger Mobile’s technology for mobile IP telephony and related services the operator 3 is now offering to its customers the opportunity to make considerably less expensive calls home to Sweden during their stay abroad. By using 3Global Wifi, customers can avoid expensive roaming charges and have total control over their mobile phone bills during the stay abroad.

The service consists of an application for iPhone and Android based phones, and various minute packages. The customer orders, via SMS or 3s client platform Planet3 and customers can choose from three different packages, 25 minutes for 49 SEK, 60 minutes for 99 SEK or 100 minutes for 149 kr. The service is used to make calls to Sweden from abroad when the phone is connected to the Internet via WiFi.

“As a global mobile operator 3 now takes steps to offer mobile VoIP in Sweden together with Challenger Mobile; of course we are very proud of that. The demand for mobile IP telephony is growing gobally, thanks to the explosion of smartphones and wireless networks in the world. ” says Håkan Tezcanli, CEO of Swedish Challenger Mobile.

Government suggests: Ban to Block mVoIP

The new Government Bill “Better Rules for Electronic Communication” means that the mobile operators will be forbidden to block IP Telephony in their 3G networks. The operators will be obliged to inform the customers whether mVoIP is allowed or not in the subscription, and the customer will always have the right to choose a new subscription. The responsible Public Authority PTS will have the authority to compel operators to provide subscriptions without any data useage blocks. Today this bill was referred to the public for comments.

Challenger Mobile, which works with mVoIP, often recieves questions, in particular from shareholders, whether there are any legal obstacles for their service or other IP Telephony. So far the area hasn’t been regulated by law, and the technology itself is permitted in most countries.

Previously the regular operators have been able technically to “disrupt or disturb” VoIP calls on their 3G networks, although most have choosen not to do this. This law will fill this legal lacuna and enhance the consumers’ rights to use their internet connection as they please, and at the same time it supports innovations from companies like Challenger Mobile.

The law is an incorporation of a European Union law into Swedish law and will, according to the current plan, enter into force in July 2011.

Result of New Issue

Challenger Mobile has from November 1st to November 15th made a new rights issue with preference to existing share holders. Almost 80% of the new shares were subscribed for, which brings additional 2,6 million SEK to Challenger Mobile after withdrawal of issue expenses. According to the board this result is sufficient to continue the company’s activities as planned.

Before the new issue the company had 3 757 930 shares, of which 300 000 were type A and the rest were type B. During the rights issue 2 923 795 shares of type B were subscribed for, and thus the total number of shares is 6 681 725. The share capital increases with 1 023 328,25 SEK.
